Welcome to Payda (“Payda,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of Payda.com and our services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

These Terms form a legally binding agreement between you and Payda Inc., a U.S.-based entity. Please read them carefully. We may update these Terms from time to time; changes will be posted on this page with the “Last Updated” date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

Acceptance of Terms

By using Payda, you confirm that you are at least 13 years old (or the applicable age of majority in your jurisdiction) and have the legal capacity to agree to these Terms. If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

Description of Service

Payda is a shopping search engine that aggregates and displays product information from third-party retailers via APIs like SerpApi. We do not sell products, host inventory, or process transactions. Our Service allows users to search for products, compare prices, view deals, and filter results (e.g., by free shipping or on-sale items). All results are sourced from external platforms, and we provide direct links to retailers for purchases. For more about what Payda offers, visit our About page.

User Conduct

You agree to use the Service only for lawful purposes and in compliance with these Terms. Prohibited conduct includes:

  • Uploading or transmitting viruses, malware, or harmful code.
  • Interfering with the Service or disrupting other users.
  • Scraping, copying, or reproducing content without permission.
  • Using the Service for commercial purposes without our written consent.
  • Violating intellectual property rights or privacy laws.

We reserve the right to suspend or terminate access for violations.

Accounts and Registration

Basic use of Payda does not require registration. If we introduce account features in the future, you may need to create an account with accurate information. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.

Intellectual Property

The Service, including its design, code, and content, is owned by Payda or our licensors and protected by U.S. and international copyright, trademark, and other laws. You may not reproduce, distribute, or create derivative works without our prior written permission. Product information displayed is provided by third parties and remains their property; we claim no ownership.

Third-Party Links and Services

The Service contains links to third-party websites (e.g., retailer product pages). These links are for convenience only, and we are not responsible for their content, privacy practices, or availability. Accessing third-party sites is at your own risk. See our Privacy Policy for how we handle data shared with third parties.

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the accuracy, completeness, or timeliness of search results, prices, or availability, as data is sourced from third parties. For more details, see our Disclaimer page.

Limitation of Liability

To the fullest extent permitted by law, Payda shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including lost profits or data. Our total liability shall not exceed $100.

Indemnification

You agree to indemnify and hold Payda harmless from any claims, losses, or damages arising from your violation of these Terms or use of the Service.

Termination

We may suspend or terminate your access to the Service at any time, for any reason, without notice. Upon termination, your right to use the Service ends immediately.

Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Payda.
